Senior Legal Counsel, Africa Catalytic Impact Fund (ACIF)

We are seeking a Senior Counsel to join our team and play a pivotal role in the build out of ACIF. The position offers the opportunity to shape, monitor and add value to direct investments in African champions and to support intermediated investments, including fund commitments, and co-investments. The Senior Counsel will also work with the broader ACIF team to develop creative investment products and structures to catalyze external capital in furtherance of our impact objectives. Structuring investments and due diligence:
- Working with the deal teams to assess investment opportunities, both direct and intermediated, from a legal perspective
- Working with the deal teams to develop term sheets for direct and intermediated investments that align with the Foundation legal requirements and Canadian charity regulations
- Leading and overseeing third party legal due diligence and structuring of direct investments; identifying and mitigating key legal risks associated with these investments; ensuring all relevant legal issues are captured and addressed appropriately; and working with external counsel, deal team members and counterparties to ensure efficient closure of investments
- Leading legal due diligence and structuring of fund commitments, including assessment of fund structures; reviewing, assessing and negotiating LPAs and side letters; ensuring Foundation legal requirements are met and incorporated
- Reviewing co-investment opportunities and in particular, assessing and amending structures to comply with Foundation requirements; working with GP partners on legal due diligence and documentation of co-investments with the support of external counsel
- Working with deal teams on value creation plans, management incentive plans, and technical assistance plans from a legal perspective as part of investment theses for prospective investments
- Work seamlessly with deal teams to evaluate and execute investment opportunities
Instrument and structure development
- Working with internal legal and fund operations colleagues on appropriate structures for ACIF investments, within the context of its unique regulatory issues
- Working with the ACIF team to create new investment structures in furtherance of the Foundation mandate and ACIF strategy
- Liaising with internal legal colleagues and the Mastercard Foundation Asset Management company to keep abreast of legal and regulatory matters relevant to ACIF
Investment Monitoring and exits
- Ensuring full compliance of ACIF’s investments with Foundation legal requirements and regulatory conditions
- Supporting portfolio companies or fund managers on occasion as appropriate
- Supporting deal teams in executing value creation initiatives for portfolio companies, from a legal perspective
- Working with deal teams and portfolio companies on negotiating and executing exits of portfolio companies, including evaluating company exit readiness and developing mitigation plans; evaluating vendor legal due diligence providers; contracting advisors; evaluating non-binding offers; negotiating transaction documentation and working with advisors on completion
WHO YOU ARE
Education & Experience
- Over 15 years of experience in M&A and/or corporate finance legal work, either at a law firm, financial institution or in-house.
- English law (or commonwealth equivalent) qualified.
- Experience in ESG / SRI / impact investing a plus.
- Experience in philanthropy and Canadian charity law will be an added advantage.
- Experience transaction execution in Africa.

We are seeking Investment Managers to join our team and play a pivotal role in the build out of ACIF and its early investments. The position offers the opportunity to make, manage and eventually exit direct investments in African champions. Investment Managers will also have the opportunity to work on intermediated investments, including fund commitments, co-investments and creative investment products to catalyze third party capital. As a core team member, you will be instrumental in shaping the future of ACIF, the clients and companies, and the African youth we serve. More specific responsibilities include:
- Evaluating, structuring and executing direct investments in African firms positioned to deliver on ACIF and the Foundation’s objectives.
- Leading the analysis of investment opportunities, including developing and testing assumptions, building and refining financial models, assessing historical performance and developing and drafting investment memorandums.
- Leading the development of valuations, investment structures and key terms of investments, in collaboration with the ACIF team.
- Deep analysis to test and refine investment cases, and defend assumptions, forecasts and investment theses to the broader ACIF team and Investment Committee.
- Managing the entire transaction process, including third party due diligence, legal documentation, transaction structuring, overseeing meeting of conditions precedent, and closing.
- Originating and identifying investment opportunities for ACIF and advocating opportunities to the ACIF team.
- Supporting the creation of innovative investment structures to achieve ACIF’s objectives, particularly of sustainable job creation.
- Supporting management teams to sustainably grow operations and create dignified employment opportunities as well as to deliver on growth and expansion objectives, M&A, product or services growth, etc.
- Ensuring appropriate reporting and performance against investment theses of the portfolio.
- Mentoring and upskilling more junior team members.
WHO YOU ARE
Education & Experience
- Bachelor’s degree in finance, economics or an associated field from a recognized master’s degree or CFA strongly preferred.
- Minimum of 8 years’ work experience, with at least 5 years’ experience in private equity or private credit investing, with a strong preference for investments in Africa.
- Understanding of investment fundamentals, key drivers of major African markets, and risks of operating in complex markets.
Investment Officer, Africa Catalytic Impact Facility (ACIF)

Lead, Health Innovation and Entrepreneurship
WAYS YOU CAN CONTRIBUTE
- Lead the design and execution of evidence-based interventions and partnerships that that will advance Health Entrepreneurship to enable young people (particularly young women) to find dignified and fulfilling work.
- Ensure alignment of programs in Health Entrepreneurship with roadmaps and strategies across the Foundation and global and national priorities.
- Work with platform and country teams to ensure connectedness, complementarity and synergy.
- Work with external agencies at global and continental level, local partners, academia and where appropriate the private sector, to identify scalable opportunities, leverage expertise and enhance thought leadership.
- Develop the Health Innovation and Entrepreneurship implementation framework leveraging the experience we gained from the Foundation’s multiple programs in in Africa and Canada.
- Seek opportunities to link, integrate, and leverage existing and upcoming programs across countries and thematic teams such as access to finance and digital technology.
- Contribute to building the Health Workforce Initiatives Team by fleshing out the Health Innovation and Entrepreneurship pillar of the roadmap.
- Work with colleagues in the health initiatives in strategy design, program/partnership development, implementation and learning by connecting the dots and ensuring synergy as one integrated team.
- Serve as a point of contact for Health Innovation and Entrepreneurship internally and externally and represent the Foundation where appropriate.
- Work with colleagues in impact to build monitoring framework to assess impact, synthesize learning, and improve program design and implementation.
- Serve as a thought partner to colleagues in other platform and country programs.
- Work with program finance to develop and manage the budgets and ensure spending adjustments or budget modifications as necessary.
- Create space to listen to young people, partners and stakeholders to scope new ideas, seek counsel, and support programming efforts.
- Champion integrated program design, implementation and learning by developing and maintaining productive work relationships and collaboration with various functions of the Foundation including finance, communication, impact, enterprise risk management, and legal.
- Establish and strengthen relationships with other stakeholders and agencies relevant to the health strategy pillar.
- Facilitate integration, collaboration and convening relevant actors to drive impact at scale.
- Effectively lead colleagues, ensuring high quality of work, safeguarding and alignment with Foundation values.
- Drive oneness building a supportive and collaborative work environment.
- Oversee performance management of direct and indirect reports.
WHO YOU ARE
- MBA or Master’s in entrepreneurship, global development, education, public policy or another related field.
- Fifteen (15) years of experience at a senior level in global organizations with strong leadership experience in innovation, entrepreneurship/enterprise development, development and/or government or public policy within the private sector and/or non-profit organizations is required.
- Six (6) years of exceptional leadership experience, building and leading entrepreneurship and innovation interventions/programs.
- Demonstrated financial management experience including preparation and management of budgets, contracts, etc. Senior level experience in Africa and with exposure to international issues ideally is crucial. Private sector experience would be an asset.
- Advanced expertise in developing and leading innovation and entrepreneurship efforts in Africa.
- Proven experience effectively working with government officials, key players in the health space, business leaders, entrepreneurs and other actors.
- Solution based approach while demonstrating innovation, integrity, quality, creativity, flexibility and resilience.
- Fluency in English. French is an added advantage.
- Excellent strategic insight and ability to translate plans to action to deliver impact with quality and speed.
- Excellent analytical skills with the ability to express facts and ideas in a clear, convincing and organized manner.
- Demonstrates mature and sound judgement when addressing highly complex needs
