Job Purpose
This job is responsible for legal services in management of the Company’s Contracts, board secretariat and compliance portfolio.
Key Responsibilities/Duties/Tasks
- Providing leadership to staff in the Division;
- Managing implementation of Divisional deliverables in realization of the Company’s Strategic Plan and Performance Contract;
- Preparing the Division’s annual budget, procurement plans, work plans and periodic reports;
- Managing and directing the drafting, negotiating and vetting of Drafting, reviewing and negotiating all types of contracts, G-G MOUs, leases, amendments/variation agreements, and other related contractual documents;
- Overseeing the development of a Legal Compliance matrix, monitoring and ensuring compliance with the same;
- Coordinating the conduct of bi-annual Legal and Governance Audits;
- Coordinating the development and updating of the Division’s risk register and tracking the implementation of the mitigation measures;

- Advising on securities, bonds and guarantees made in favour of or by the Company;
- Providing advice to Management on legal, regulatory and contractual matters affecting the Company;
- Providing legal advisory on public procurement and review of Tender documents such as EOIs, RFPs, RFQs etc;
- Managing implementation of the Division’s targets under the Performance Contract;
- Improving internal processes and workflows for operational effectiveness;
- Accounting for resource use in line with prevailing laws, policies and regulations;

- Liaising with other process owners for operational effectiveness.
- Providing necessary support in the Board Secretarial function in implementation of Mwongozo Code of Governance;

- Guiding the functions on legal implications of their processes;
- Ensuring quality assurance in the Division.
Qualifications & Skills required
- Must have a Master’s Degree in any of the following disciplines: Law, Business Administration, Public Administration, or equivalent qualifications with a Bachelor’s Degree in Law from a recognized institution;
- Must be an Advocate of the High Court of Kenya, member of Law Society of Kenya (LSK) and have a valid practicing certificate;
- Must be a Certified Secretary CS(K) and be a member in good standing of the Institute of Certified Secretaries of Kenya (ICSK)
- Post Graduate Diploma in Law from the Council of Legal Education;
- Course in Senior Management lasting not less than four weeks OR a certificate in Corporate Governance course OR Strategic Leadership Development Programme lasting not less than 4 (four) weeks from a recognized institution; and
- Must have eight (8) years post admission relevant work experience.

Senior Engineer Power System Protection
SENIOR ENGINEER POWER SYSTEM PROTECTION – KET 5 REF: KET/5/1C/40/151/VOL II – B (PERMANENT & PENSIONABLE)
Reporting to the Manager, Overhead Lines.
Job Purpose
The successful candidate will be responsible for designs, installs, tests and maintains of sound, safe, secure, reliable and stable power system control and protection system to ensure achievement of a robust and reliable transmission network.
Key Responsibilities;
- Participating in the formulation of detailed system protection plans, processes, and procedures for Division staff to use and abide by as they perform their duties;
- Ensuring quality controls and compliances to relevant standards;
- Implementing policies and programmes on system protection and control systems;
- Proposing for improvement and or review of standards and specifications on power system protection arising from the operations of the transmission grid protection systems and philosophies.
- Ensuring maintenance of required standards on high voltage AC and high Voltage DC protection and control system is carried out when due;
- Ensuring effective protection of transmission and distribution equipment to support continuity of service and maintain stability of the transmission system and the Interconnectors at 99.5% availability;
- Implementing seamless protection system between the interconnectors that guarantees the operation of the interconnectors as per interconnection grid codes;
- Coordinating design, installation, testing and commissioning of modifications and extensions of protection and control schemes in existing transmission substations as per approved method procedures and instructions;
- Ensuring control and protection drawings are updated and accurate;
- Developing specifications for equipment, tools, test kits and material used in power systems protection for procurement
- Coordinating connection, testing and commissioning of new energy meters in the transmission system
- Preparing reports on the status of system protection and control system for both HVAC and HVDC;
- Preparing annual work plans for protection and control systems maintenance works and schedules protection and control systems equipment unplanned maintenance and outages;
- Leading in undertaking corrective and planned repairs and maintenance on protection and control systems for the transmission network;
- Participating in performing switch operations and isolations as per procedures and instructions during the commissioning and operational phases
- Analyses power system faults and evaluation of such failures in the transmission network and provides report with recommendations for improvement of the transmission grid stable operations.
- Participating in implementing condition monitoring of substations control and protection equipment in order to ensure monitoring of their health working conditions.
- Providing technical support to other sections within system operation and power management directorate with regards to system protection issues
- Performing protection coordination studies and calculations of system currents and voltages under abnormal and fault conditions in order to determine suitable protection and control relay settings for both HVDC and HVAC systems to ensure improved operation of the transmission grid.
- Maintaining an inventory and keeping custody of tools and spares required for power system protection section.
- Implementing technological innovations that enhance efficiency and stability of power system protection for the transmission grid
- Leading periodic audit of the protection and control systems and recommend overhaul and or replacement of faulty and redundant systems

- Coordinating estimation of transmission license fees and other relevant national and regional economic regulatory obligations for the Company and drafting requisite management reports and papers;
- Developing draft advisory services to the Management on Transmission tariffs and other regulatory obligations;
- Providing support for effective linkages with the Ministry of Energy, Regulatory Agency and other utilities during Retail Tariffs reviews and hearings and during the development of national and sector plans;
- Supervising performance and capacity building of the staff in the unit.
- Preparing Transmission tariffs and wheeling charges and provides inputs into the associated interconnection and wheeling agreements;
- Undertaking drafting of the Transmission Master Plan and requisite management paper and reports;
- Developing responses to the regulatory agency and other utilities during tariff reviews and hearings;
- Preparing proposals and concepts for financing & investment strategies for the organization in line with the Transmission Master Plan;

Key Responsibilities
- Providing leadership to Staff in the Directorate;
- Advising Management on matters related to power system operations, maintenance, control and market operations, SCADA and telecommunications, safety and aerial support services;
- Overseeing management and operation of the National System Control Centre and regional interconnectors to facilitate stable, available, reliable and secure power system;

- Reporting on matters relating to electrical engineering quality control during procurement, design, construction and commissioning of transmission infrastructure projects;

- Enforcing compliance with relevant acts including Energy Act, Procurement Act, National Construction Authority Act, Engineers Act; Environmental Act, Health and Safety Act among others;

- Interpreting the collective bargaining agreement and HR policies as outlined in the HR manual to ensure compliance;
- Tracking all aspects of the Company’s Employee relations initiatives;
- Participating in the development and implementation of employee relations related policies and procedures;
- Prepare monthly and quarterly reports on disciplinary cases & Implantation of CBA;
- Ensure ISO procedures on employee relation are adhered to by reviewing and ensuring compliance;
- Implementation of Long service Awards and Honorarium awards
Qualifications & Skills required:
- Bachelor’s Degree in human resource management or related field from a recognized institution.
- Bachelor’s Degree in Law (with experience in HR) will be an added advantage
- Must be a registered member of the Institute of Human Resource Management (IHRM) in good standing.
- Post graduate Diploma in Human Resource HRM or CHRP Certification
- Supervisory course lasting not less than two (2) weeks;
- vMust have six (6) years of relevant work experience.
